MinimalPad Terms of Service

Welcome to MinimalPad. These Terms of Service apply when you access our website, place an order, purchase a product, or otherwise use our services. By placing an order, you agree to these terms.

MinimalPad is a trading name of Unbox Studio B.V., a company registered in the Netherlands.

1. General

MinimalPad is a small-batch hardware and electronics brand focused on macropads, DIY kits, keyboards and related accessories.

We may update our website, product range, future prices or these terms. Changes do not affect an order that we have already accepted. The terms available when your order is accepted apply to that purchase.

2. Product information

We aim to describe and display our products accurately. Screen settings may cause colours to appear slightly different. Small cosmetic variations can also occur between production batches, particularly with 3D-printed, handmade or small-batch components.

Minor variations that do not affect normal use and do not materially differ from the product description are not necessarily defects. This does not limit your statutory rights when a product does not conform to the purchase agreement.

Product photographs may show accessories, switches, keycaps, controllers or other items that are not included. The product page and your order summary state what is included in your purchase.

3. DIY kits and technical products

Some MinimalPad products are DIY kits or configurable electronic products intended for makers and enthusiasts. Depending on the product, assembly may require soldering skills, suitable tools, firmware flashing and basic technical knowledge.

Please read the product description, compatibility information, safety information and assembly instructions before starting. If anything is unclear, contact us before assembling or powering the product.

MinimalPad products do not include a battery. If you choose to install your own compatible battery, you are responsible for selecting, installing, charging, using and disposing of it safely and in accordance with the battery manufacturer's instructions.

MinimalPad is not responsible for damage caused solely by incorrect assembly, improper soldering, unsuitable power supplies, incorrect battery handling, use contrary to our instructions, unauthorised modifications, or unsupported third-party hardware, firmware or software. This limitation does not apply where the damage results from a defect in a supplied product, inadequate instructions, or another matter for which liability cannot legally be excluded.

Compatibility with every third-party device, operating system, firmware version or software package cannot be guaranteed. Any specific compatibility we promise on a product page remains part of the purchase agreement.

4. Orders and acceptance

Products displayed on our website are invitations to place an order. After you submit an order, you will receive an electronic acknowledgement. An automatic acknowledgement does not by itself mean that we have accepted the order. The purchase agreement is formed when we expressly accept the order or send a shipping confirmation.

All orders are subject to availability. We may refuse or cancel an order for a reasonable reason, including unavailability, an obvious pricing or description error, payment failure, suspected fraud, or a quantity that is clearly inconsistent with normal personal use. If we cancel an order after receiving payment, we will refund the amount paid using the original payment method.

Please check your contact, billing and delivery information before submitting an order and contact us promptly if you notice an error.

5. Prices and payment

Prices are displayed in euros (EUR) and include VAT where legally applicable, unless the website clearly states otherwise. Delivery charges and the total price are shown before you submit the order.

Prices may change for future orders without notice. A price change will not affect an order we have already accepted.

For deliveries outside the European Union, the recipient may be responsible for import duties, taxes, customs charges or handling fees imposed by the destination country. These charges are not controlled by MinimalPad and are not included unless expressly stated during checkout.

6. Shipping and delivery

Available delivery destinations, delivery charges and estimated delivery times are shown on our website or during checkout. Delivery estimates are not guaranteed dates unless we expressly agree to a specific delivery date.

We are responsible for loss of or damage to an order until you, or a third party designated by you other than the carrier, receives it. If you independently appoint a carrier that we did not offer, risk may pass to you when the order is handed to that carrier, as permitted by law.

If delivery is delayed, we will provide available information and work with the carrier. Delays caused by events reasonably outside our control do not remove your statutory rights. If we do not deliver within the agreed period, you may have the right to give us a reasonable additional period and then cancel the purchase for a refund. An additional period may not be required where delivery by a particular date was expressly agreed as essential or where applicable law says otherwise.

7. Returns and refunds

Information about the 14-day right of withdrawal, return shipping, refunds and defective products is set out in our Return and Refund Policy.

Nothing in these terms or the Return and Refund Policy limits a consumer right that cannot legally be limited. Statutory returns do not require discretionary approval from MinimalPad.

8. Legal guarantee and product conformity

Products must conform to the purchase agreement. If a product is faulty, is not as described, lacks a promised characteristic, or cannot be used for its normal purpose, you may be entitled to a repair, replacement, price reduction or refund under applicable consumer law.

Remedies for a defective or non-conforming product will be provided without charge where required by law. Your legal guarantee rights are separate from the 14-day right of withdrawal and are not reduced by any manufacturer warranty or commercial guarantee.

Damage caused solely by incorrect assembly or use contrary to clear instructions is not normally a product defect. However, your rights remain unaffected where a supplied component was defective or the damage resulted from inadequate instructions.

9. Firmware, software and third-party services

MinimalPad products may use or interact with open-source firmware, third-party software or external services. Those components may be subject to their own licences and terms.

We are not responsible for changes made by independent third parties or for problems caused solely by unsupported modifications. We remain responsible for compatibility or functionality that we expressly promise and for obligations that cannot legally be excluded.

10. Intellectual property

The MinimalPad name, branding, logos, original website text, original images, graphics and original product designs are owned by or licensed to Unbox Studio B.V., unless stated otherwise.

Third-party and open-source materials remain subject to their respective owners' rights and licence terms. Nothing in these terms restricts rights granted under an applicable open-source licence.

You may view and use our website content for personal, non-commercial purposes. You may not reproduce, sell or redistribute our protected content without permission, except where the law or an applicable licence permits it.

11. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, deliberate misconduct, gross negligence, defective products, breach of mandatory consumer rights, or any other liability that cannot legally be excluded or limited.

Subject to the paragraph above, MinimalPad is not responsible for losses that were not reasonably foreseeable when the purchase agreement was formed, or for damage caused solely by misuse, incorrect assembly, unsupported modification or failure to follow clear safety and operating instructions.

If you purchase as a consumer, we are not responsible for business losses such as lost profits, lost revenue or business interruption arising from personal use of a product. This does not affect any remedy available to you under mandatory law.

12. Privacy

We process personal information in accordance with our Privacy Policy.

13. Complaints

If you have a complaint, contact us using the details below. Please include your order number and a clear description of the issue. We will acknowledge your complaint promptly and aim to provide a substantive response within 14 calendar days.

We encourage you to contact us first so we can try to resolve the matter directly. This does not restrict your right to use any court, consumer authority or dispute-resolution procedure available under applicable law.

14. Governing law and disputes

These terms and purchase agreements with MinimalPad are governed by Dutch law. If you are a consumer living in another country, this choice does not deprive you of mandatory consumer protections provided by the law of your usual country of residence.

Disputes may be submitted to a court that has jurisdiction under applicable law. Nothing in these terms requires a consumer to bring a claim exclusively before a Dutch court where the consumer is legally entitled to use another competent court.

15. Changes and severability

We may revise these terms for future website use and future purchases. The revised terms take effect from the effective date shown at the top and do not retroactively change an order we have already accepted.

If any provision is found to be invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
